[RC number]) for facts specific to the business. Replace every placeholder and have this reviewed by qualified legal counsel before treating it as the live, binding version.1. Acceptance of these terms
These Terms of Service ("Terms") govern your access to and use of the Abis Voice mobile application and related services (together, the "Service"), provided by ABIS VOICE CALL NIG LTD("Abis Voice," "we," "us," or "our"). By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Description of the service
Abis Voice lets you purchase a virtual Nigerian phone number, make and receive calls over the internet using that number, and manage a wallet used to pay for numbers, subscriptions, and call charges.
3. Eligibility and account registration
You must be at least 18 years old and legally capable of entering into a binding contract to use the Service. You agree to provide accurate registration information and to keep it up to date.
Purchasing a virtual number requires successful identity verification via a valid Nigerian National Identification Number (NIN) or Bank Verification Number (BVN). We reserve the right to refuse, suspend, or revoke access to a number if verification fails or is later found to be inaccurate or fraudulent.
4. Wallet and payments
- All amounts in the Service are denominated in Nigerian Naira (NGN).
- Wallet top-ups are processed by third-party, licensed payment gateways (currently Paystack and Flutterwave). We do not store your full card or bank account details.
- Wallet funds are used to pay for number purchases, monthly subscription renewals, and per-minute call charges, and are debited automatically as those charges occur.
- Except where required by law or expressly stated otherwise, wallet top-ups and charges are non-refundable. Refunds, where granted, are issued at our discretion back to your Abis Voice wallet.
5. Virtual numbers and subscriptions
Virtual numbers are provided on a recurring monthly subscription basis. Unless you disable auto-renewal, your subscription renews automatically each month by debiting your wallet at the then-current rate. If a renewal charge fails due to insufficient wallet balance, your subscription will expire and the number may be released back into the available pool and reassigned to another user.
You may cancel a subscription at any time. Immediate cancellation releases the number right away; disabling auto-renewal keeps the number active until the end of the current billing period.
6. Calling and acceptable use
Calls made and received through the Service are billed per minute from your wallet at published rates, which may differ for inbound and outbound calls and may change from time to time.
You agree not to use the Service to:
- Engage in spam calling, robocalling, or unsolicited bulk communication;
- Harass, threaten, defraud, or impersonate any person or entity;
- Violate any applicable law, including Nigerian telecommunications and financial regulations; or
- Attempt to circumvent identity verification, billing, or security controls within the Service.
7. Suspension and termination
We may suspend or terminate your account, or reclaim a virtual number, if we reasonably believe you have violated these Terms, engaged in fraudulent or illegal activity, or where required to comply with law or a request from a payment or telecom partner. Wallet balances associated with a terminated account will be handled in accordance with applicable law.
8. Intellectual property
The Service, including its software, design, and branding, is owned by Abis Voice or its licensors and is protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the Service.
9. Disclaimers and limitation of liability
The Service is provided on an "as is" and "as available" basis. Call quality and delivery depend in part on third-party telecommunications infrastructure outside our control. To the maximum extent permitted by law, Abis Voice disclaims all warranties, express or implied, and will not be liable for indirect, incidental, or consequential damages arising from your use of the Service.
10. Governing law
These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from these Terms or the Service will be subject to the exclusive jurisdiction of the courts of [State/jurisdiction], Nigeria.
11. Changes to these terms
We may update these Terms from time to time. Material changes will be notified through the app or by email before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
